These Terms of Service ("Terms") govern your access to and use of the website findspace.com and any related apps or services (together, the "Platform"). The Platform is operated by Steven Noble, trading as Find Space, a sole trader of [INSERT BUSINESS ADDRESS] ("Find Space", "we", "us", "our"). You can contact us at hello@findspace.com.
By creating an account, listing a Space, submitting an enquiry, or making a booking through the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform. If you are using the Platform on behalf of a business, you confirm you have authority to bind that business to these Terms.
Section 1: Who this is between, and key definitions
Find Space is a marketplace that connects people who have temporary commercial space to offer (Space Owners) with people looking to book it (Space Seekers) — for example market stalls, pop-up shops, event venues and exhibition space. We also operate a directory of independent third-party trade contacts (Suppliers), such as caterers, mobile bars, security and insurance providers.
Find Space is not a party to the contract for hire of a Space. When a booking is made, a direct contract is formed between the Space Seeker and the Space Owner on the terms shown at the time of booking. Our role is to operate the Platform that lets you find each other, take payment where a booking is paid through the Platform, and provide the tools described in these Terms. We do not own, manage, inspect or guarantee the condition, safety, or legal status of any Space, and we are not a letting or estate agent.
The Platform is intended for booking temporary, non-residential commercial space. It must not be used to arrange overnight accommodation, residential lettings, or any use that would require a residential tenancy agreement.
Section 2: Eligibility and your account
- Age: You must be at least 18 years old and able to form a binding contract to use the Platform.
- Accurate information: You must provide accurate, current information when you register, and keep it up to date.
- Account security: You are responsible for keeping your login details confidential and for all activity that happens under your account. Tell us immediately at hello@findspace.com if you suspect unauthorised use.
- One account per person: Accounts are personal to you (or, where you register on behalf of a business, to that business) and must not be shared or transferred.
- Verification badges: Where we show a listing or account as "verified", this reflects limited checks we have carried out (such as confirming an email address, phone number, or basic business details). It is not a guarantee of the quality, safety, or trustworthiness of that person, business, or Space. Always exercise your own judgement, and see the safety notice shown on unverified listings before you commit to anything.
- Suspension or closure: You may close your account at any time. We may suspend or close your account, or remove a listing, where we reasonably believe you have breached these Terms, engaged in fraud or unsafe conduct, or where we are required to by law — see Section 8.
Section 3: Listing a Space
If you list a Space as a Space Owner, you agree that:
- You have the right to offer it. You confirm you own the Space or have all necessary permission (from a landlord, freeholder, local authority, or otherwise) to offer it for the uses you list, and that doing so does not breach any lease, licence, insurance condition or law.
- Your listing must be accurate. Description, photos, amenities, access arrangements, availability and pricing must be accurate and kept up to date. Don't list a Space you don't control, or advertise availability you can't honour.
- The Space must be fit for purpose. It must be safe, in the condition described, and legally usable for the purpose advertised, including any licences needed (for example, for the sale of food, alcohol, or for public events).
- Compliance is your responsibility. You are responsible for complying with the law that applies to your Space, including health and safety, fire safety, planning, licensing, insurance and tax obligations. Find Space does not provide legal or tax advice, and listing on the Platform does not mean we have checked your compliance.
- Accepting a booking creates a contract. Once you accept a booking request (or a Space Seeker completes an Instant Book), a binding contract is formed directly between you and the Space Seeker on the price and terms shown at the time. You may not increase the price after acceptance except for extras the Space Seeker has separately agreed to.
- No taking bookings off-Platform. If you meet a Space Seeker through Find Space, you must not ask them to pay you, or agree terms with them, outside the Platform in order to avoid our fees. See Section 5.6.
- CCTV and monitoring. If your Space has cameras or recording equipment, you must disclose this clearly in your listing and never place them in private areas such as toilets or changing rooms, in line with data protection law.
Section 4: Making a booking
Listings on Find Space work in one of three ways, shown on the listing itself:
- Instant Book: you pay through the Platform and your booking is confirmed immediately, subject to the listing's availability and terms.
- Request to Book: you send a booking request, which the Space Owner can accept or decline. A contract is formed once the Space Owner accepts and payment (if required) is taken.
- Enquiry listings: some listings only let you send an enquiry or connect with the Space Owner directly (for example via an external booking link). No payment is taken through the Platform for these, and any resulting booking is agreed and paid for entirely between you and the Space Owner.
As a Space Seeker, you agree that:
- You will check the listing, price, fees and any Space Owner cancellation terms carefully before you book or send an enquiry.
- You are responsible for how the Space is used during your booking, including the conduct of anyone you bring, and for leaving it in the condition you found it.
- Where an enquiry is submitted, the Space Owner will receive the contact details you provide so they can respond to you; they may hold these details to contact you about that enquiry and similar space opportunities, in line with our Privacy Policy.
- You must not use messaging on the Platform to share contact details or attempt to move a booking off-Platform in order to avoid fees — see Section 5.6.
Section 5: Fees, payments and refunds
5.1 Payment processing
Payments made through the Platform are processed by Stripe, a third-party payment processor, using Stripe Connect. We do not store your full card details. By paying through the Platform you also agree to Stripe's own terms. Space Owners who wish to receive payouts must complete Stripe's account verification ("Know Your Customer") process; Find Space does not itself collect or store the identity documents Stripe requires for that process.
5.2 Our fees
- Booking commission: we charge Space Owners a commission on bookings made and paid through the Platform. We may also charge Space Seekers a separate booking or service fee. Current rates are always shown before you accept a booking or confirm payment, and are deducted automatically (for Space Owners) via Stripe Connect.
- Supplier subscriptions: Suppliers pay a recurring subscription fee to appear in our Suppliers Directory and access related benefits, billed via Stripe. Subscriptions renew automatically until you cancel from your account or our billing portal; cancellation takes effect at the end of the current billing period.
- Featured listings: Space Owners may pay an additional fee to feature a listing in premium placement for a fixed period, shown at the time of purchase.
- All fees are shown to you in advance, before you are charged. Prices are inclusive of VAT unless stated otherwise; we will show a separate VAT number on invoices if and when we become VAT-registered.
5.3 Taxes
Space Owners and Suppliers are responsible for determining and paying any tax due on income earned through the Platform (including Income Tax, Corporation Tax, and VAT where applicable). We do not provide tax advice.
5.4 Cancellations and refunds
Where a listing sets out its own cancellation terms, those terms apply and will be shown to you before you pay. Where a listing does not set its own terms, our standard cancellation policy applies to bookings paid through the Platform:
- Cancelled more than 7 days before the booking start date: full refund of the amount paid to the Space Owner, minus our non-refundable booking fee.
- Cancelled between 48 hours and 7 days before the booking start date: 50% refund of the amount paid to the Space Owner.
- Cancelled within 48 hours of the booking start date, or after it: no refund.
Refunds are issued to your original payment method via Stripe and may take several business days to appear. If a Space Owner cancels a confirmed booking, we will refund you in full. This policy does not affect any right you have to a refund under consumer law, for example if a Space is not as described.
5.5 Deposits and damage
Some listings may require a refundable damage deposit, shown before you book. Claims against a deposit are a matter between the Space Seeker and Space Owner; we may assist by facilitating payment through Stripe where reasonably requested, but we do not adjudicate damage disputes.
5.6 No circumventing fees
If you meet another user through Find Space, you must not agree to pay, or be paid, outside the Platform for a booking in order to avoid our fees. If you do, we may recover our lost commission from you, remove your listing or content, and suspend or close your account.
Section 6: Suppliers Directory
Suppliers listed in our directory are independent businesses, not employees, agents or partners of Find Space. Listings in the Suppliers Directory have not been independently verified by us. We do not vet, endorse, or guarantee the quality, safety, insurance, or reliability of any Supplier. Any contract you enter into with a Supplier is between you and them; we are not a party to it and are not responsible for its performance.
Section 7: Content, conduct and community guidelines
7.1 Your content
You must own, or have permission to use, any photos, descriptions, reviews or other content you post. By posting content, you grant Find Space a non-exclusive, worldwide, royalty-free licence to host, reproduce and display it on the Platform for the purpose of operating and promoting the Platform. You're responsible for making sure your content is accurate and doesn't infringe anyone else's rights.
7.2 Prohibited conduct
You must not, and must not help anyone else to:
- break the law, or list or use a Space for an illegal purpose;
- post false, misleading, defamatory, hateful or discriminatory content;
- impersonate another person or misrepresent your affiliation with anyone;
- scrape, harvest, or misuse other users' data, or attempt unauthorised access to the Platform;
- upload malware or attempt to disrupt or interfere with the Platform's operation;
- use the Platform to target or exploit children.
7.3 Reviews and feedback
Reviews must reflect a genuine experience of using the Platform. We may remove reviews that are fraudulent, abusive, or that breach these Terms. If you give us feedback or suggestions about the Platform, we may use them without any obligation to you.
7.4 Reporting problems
If you experience a scam, harassment, unsafe listing, or a suspected breach of copyright, please report it to hello@findspace.com with as much detail as possible so we can investigate.
Section 8: Suspending or closing accounts
We may suspend or close your account, or remove a listing or other content, with notice where reasonably practicable, if we believe you have breached these Terms, acted fraudulently or unsafely, put other users or the Platform at risk, or where required by law. Where practical, we will explain why. You remain responsible for fulfilling any booking already confirmed before suspension unless we tell you otherwise.
Section 9: Disclaimers and limitation of liability
Nothing in this Section limits or excludes any liability that cannot be limited or excluded under English law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited.
The Platform is provided on an "as is" and "as available" basis. We do not guarantee that a Space or Supplier will be available, suitable, safe or as described, and we are not responsible for the acts or omissions of Space Owners, Space Seekers or Suppliers, who act independently of us. To the extent permitted by law, we exclude all warranties not expressly stated in these Terms.
Subject to the first paragraph of this Section, our total liability to you arising out of or in connection with your use of the Platform, in any 12-month period, is limited to the greater of (a) the fees you paid to Find Space in that period, or (b) £100. We are not liable for indirect or consequential losses, including loss of profit or loss of business opportunity.
If you are a consumer, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or other consumer protection law that cannot be excluded or limited by agreement.
Section 10: Indemnity
You agree to indemnify Find Space against reasonable losses, costs and claims arising from your breach of these Terms, your misuse of the Platform, your content, or your booking, hosting or supply of a Space or service, except to the extent caused by our negligence or breach of these Terms.
Section 11: Complaints, disputes and governing law
If something goes wrong with another user, please try to resolve it directly first, using Platform messaging where possible. If you can't resolve it, contact us at hello@findspace.comwith a summary and any evidence, and we will try to help — though as we are not a party to the contract between Space Seekers and Space Owners, we cannot guarantee a particular outcome and may decline to intervene in a dispute between users.
These Terms, and any dispute arising out of or in connection with them or the Platform, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts. If you are an EU-based consumer, the European Commission's Online Dispute Resolution platform is no longer available to UK traders following Brexit; please contact us directly instead.
Section 12: General terms
- Changes to these Terms: we may update these Terms from time to time. If we make material changes, we will give reasonable notice (for example by email or an on-Platform notice) before they take effect. Continuing to use the Platform after that date means you accept the updated Terms.
- Severability: if any part of these Terms is found unenforceable, the rest continues to apply, and the unenforceable part will be treated as amended to the minimum extent needed to make it enforceable.
- No waiver: if we don't enforce a right under these Terms, that doesn't mean we've given it up.
- Assignment: you may not transfer your rights or obligations under these Terms without our consent. We may transfer ours, for example as part of a sale of the business, and will tell you if we do.
- Force majeure: neither party is liable for delay or failure to perform caused by circumstances reasonably beyond their control.
- Third parties: a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.
- Entire agreement: these Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and Find Space regarding your use of the Platform.
- Notices: we may send notices to the email address on your account. Notices are treated as received the next business day after sending.
